Skills System LLC – E-Learning Membership Agreement
Effective Date: March 17, 2026
This Membership Agreement ("Agreement") governs your use of the Skills System E-Learning platform, including access to Courses 1 and 2, the My Skills Page, and related services. By using the E-Learning site at https://members.skillssystem.com, you agree to this Agreement, our Privacy Policy, and Terms of Use.
1. Membership Types and Access
- Memberships are valid for one year.
- Individual Memberships provide access for one user.
- Group Memberships allow administrators to add multiple users and manage their access.
- Clinician Memberships may only be used to provide access to clients, families, and outside providers—**not** for training internal agency staff.
2. Use of the E-Learning Platform
- You agree to use the platform only for educational and training purposes.
- You may not share your account or login credentials.
- You are responsible for maintaining the security of your login and for any activity under your account.
3. My Skills Page
- The My Skills Page allows users to enter goals, plans, and skills-related content.
- Skills System does not monitor, review, or access this content.
- This feature is not therapeutic, monitored, or intended for clinical support.
- If you are in crisis in the U.S., call 911, 988 for the Suicide and Crisis Lifeline, or go to the nearest emergency room.
4. My Skills Practice Sessions
- Practice Sessions are self-guided and not monitored.
- The avatar is a non-AI guide and provides no feedback, suggestions, or treatment.
- If you report harm to self, others, or property, the system may display emergency resources, but no response is triggered or logged.
5. AI Assistant Bot
- The AI Bot is an optional informational tool.
- It is not a clinical resource and cannot be used for mental health emergencies.
- It does not collect, store, or analyze any user input.
- By using the Bot, you confirm that you understand it is not monitored.
6. HIPAA Compliance
- Skills System is HIPAA-compliant for stored user information.
- The AI Assistant Bot does not store any data and is not a HIPAA-covered feature.
7. Intellectual Property
All course content, materials, and digital tools are the property of Skills System LLC and are protected by copyright and trademark laws.
Your Right to Use Products and Services
Your Membership gives you the right to use Products and Services in accordance with this Membership Agreement. The exact combination of Products and Services that you may use will depend upon which Membership plan and platform you choose. Some plans or platforms may offer different functionality than other plans or platforms.
You acknowledge that the Products and Services are licensed and not sold. So long as you comply with the terms of this Membership Agreement and any other applicable terms and conditions, you are granted a personal, limited, nonexclusive, nontransferable, revocable license to use the Products and Services during the Membership Term for one authorized person in the case of an Individual Account or the number of for a Seat License in the case of a Group Administrator.
8. Refund Policy
Refunds may be requested within 7 days of purchase if no course content has been accessed. Contact jbrown@skillssystem.com to request a refund.
9. Termination
We may suspend or terminate your access for violation of this Agreement. You agree that we may immediately, in our sole discretion and without notice, terminate this Agreement or your use of the Products and Services if you fail to comply with this Agreement or if you no longer agree to receive electronic communications, or for any other reason.
10. Disclaimers
The platform is educational and not a substitute for clinical services or crisis support. No content, tool, or feature on the site should be used to diagnose or treat any mental health or medical condition.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts. Any dispute will be resolved by arbitration under AAA rules, unless eligible for small claims court.
12. DISCLAIMER OF WARRANTIES
YOUR USE OF THE PRODUCTS AND SERVICES IS ENTIRELY AT YOUR OWN RISK. EXCEPT AS DESCRIBED IN THIS AGREEMENT, THE PRODUCTS AND SERVICES (INCLUDING ANY PRODUCTS AND SERVICES PROVIDED BY A THIRD PARTY) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE, OUR AFFILIATES, AND EACH OF OUR THIRD-PARTY PROVIDERS, SUBCONTRACTORS, LICENSORS, DISTRIBUTORS, OR SUPPLIERS (COLLECTIVELY “SUPPLIERS”) DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTY THAT THE PRODUCTS OR SERVICES ARE FIT FOR A PARTICULAR PURPOSE; ALL WARRANTIES OF TITLE, MERCHANTABILITY, DATA LOSS, OR NON-INTERFERENCE WITH OR NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS; AND ANY GUARANTEE OF THE ACCURACY, RELIABILITY, QUALITY, OR CONTENT IN OR LINKED TO THE PRODUCTS OR SERVICES. WE, OUR AFFILIATES, AND OUR SUPPLIERS DO NOT WARRANT THE COMPREHENSIVENESS, COMPLETENESS, CORRECTNESS, LEGALITY, OR ACCURACY OF THE PRODUCTS AND SERVICES, OR THAT THE PRODUCTS OR SERVICES ARE SECURE OR FREE FROM BUGS, VIRUSES, INTERRUPTION, ERRORS, THEFT, OR DESTRUCTION OF YOUR COMPUTER SYSTEM OR OTHER DEVICE, OR LOSS OF DATA, RESULTING FROM YOUR USE OF THE PRODUCTS OR SERVICES OR THIRD PARTY PRODUCTS AND SERVICES. IF THE EXCLUSIONS FOR IMPLIED WARRANTIES DO NOT APPLY TO YOU, ANY IMPLIED WARRANTIES ARE LIMITED TO 30 DAYS FROM THE DATE OF PURCHASE OR DELIVERY OF THE PRODUCTS OR SERVICES, WHICHEVER IS SOONER.
WE, OUR AFFILIATES, AND EACH OF OUR SUPPLIERS DISCLAIM ANY REPRESENTATIONS OR WARRANTIES THAT YOUR USE OF THE PRODUCTS OR SERVICES WILL SATISFY OR ENSURE COMPLIANCE WITH ANY LEGAL OBLIGATIONS OR LAWS OR REGULATIONS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THESE EXCLUSIONS MAY NOT APPLY TO YOU.
